Terms of
Service.

Short version: Use CartonFlow legally and in good faith. We provide the platform; you own your data. Either party can cancel anytime.

1. Acceptance

By creating an account or using CartonFlow, you agree to these Terms. If you're using CartonFlow on behalf of a company, you represent that you have authority to bind that company.

2. The Service

CartonFlow is a logistics visibility and management platform. We provide shipment tracking, 3PL communication, invoice management, RFQ bidding, and related features. We reserve the right to modify, add, or remove features with reasonable notice.

4. Free Trial and Billing

New accounts receive a 14-day free trial. A valid payment method is required at signup. You will not be charged until the trial period ends. After the trial, your chosen plan is billed monthly or annually as selected. See our Cancellation & Refund Policy for details on cancellations and refunds.

5. Your Data

You own your data. CartonFlow does not claim ownership of any content you enter into the platform. By using the service, you grant us a limited license to store, process, and display your data solely to provide the service to you.

6. Acceptable Use

You agree not to misuse CartonFlow. See our Acceptable Use Policy for the full list of prohibited activities. In summary: don't use CartonFlow for anything illegal, abusive, or harmful.

7. 3PL and Partner Accounts

3PLs, forwarders, and distributors invited to CartonFlow by a paying customer access the platform for free. They may only view and interact with data shared with them by the inviting brand. They do not have rights to invite additional users or access other tenants' data.

8. Intellectual Property

CartonFlow, its logo, and all platform software are owned by Pevara Systems. You receive a limited, non-exclusive, non-transferable license to use the platform during your subscription.

9. Uptime and Reliability

We target 99.5% uptime. We are not liable for downtime caused by third-party infrastructure (Fly.io, Supabase, AWS, Stripe) or events outside our control. We will communicate planned maintenance in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Pevara Systems' total liability for any claim arising from your use of CartonFlow shall not exceed the total amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Termination

Either party may terminate at any time. You can cancel from your account dashboard under Settings → Billing → Manage Subscription, which opens the Stripe Billing Portal. We may terminate accounts that violate these Terms with or without notice. Upon termination, your data is retained for 90 days then permanently deleted.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict of law provisions.

13. Changes

We may update these Terms from time to time. We'll notify you by email of material changes. Continued use constitutes acceptance.
